Terms of Service

1. Introduction

RWADEX (“RWADEX,” “we,” or “our”) is a market interface for tokenized real-world assets operated by Tesseras Labs, S.A. These Terms of Service (“Terms”) govern your access to and use of RWADEX and any associated services (collectively, the “Services”). By accessing or using RWADEX, you agree to be bound by these Terms. If you do not agree, do not access or use RWADEX.

RWADEX is a discovery and access surface. Tesseras does not execute trades, hold user funds, provide custody, or act as an exchange, broker, or intermediary. Transactions settle through third-party protocols and partner execution rails under their own terms, and supported networks may change over time.

2. Eligibility and jurisdiction

Non-U.S. Use. RWADEX is not available to U.S. retail investors, and the Services are not directed at persons in jurisdictions where they would be unlawful. Access from such jurisdictions is prohibited.

Age Requirement. You must be at least 18 years old and have the legal capacity to use RWADEX.

Regulated Assets. Regulated tokens are visible or transactable only to verified, eligible users; eligibility is checked before any transfer of a regulated token can settle.

Compliance Obligations. You are responsible for ensuring that your use of RWADEX complies with all laws, regulations, and tax obligations that apply to you.

3. Wallets and security

You connect with a self-custodial wallet or an embedded wallet created through our wallet provider. Only your public address is shared with the interface. RWADEX does not control your private keys and cannot recover lost keys or reverse transactions.

You are solely responsible for the security of your wallet and devices. Transactions signed with your wallet are considered authorized by you.

4. The Services

Discovery and Access. RWADEX displays vetted tokenized-asset projects, their status, and supporting information, and provides an interface for trading supported tokens. Listed projects undergo Tesseras's review before they appear; review is operational and is not an endorsement, audit, guarantee, or regulatory determination.

Execution. When you submit a trade, competing third-party execution partners fill it at a quoted price. Any applicable fees — including network transaction fees and third-party execution costs — are displayed before you confirm a transaction.

Token Roles. A regulated investor token represents only what the relevant issuer's offering documents say it represents and is restricted to verified, eligible investors. An associated project token is a campaign or community instrument; it is not an investment and does not represent ownership.

5. Issuer content; no advice

Content displayed on the interface — including issuer materials, readiness indicators, and evidence displays — is information from or about issuers, not an offer, recommendation, or endorsement by Tesseras. Offering claims belong to the issuer identified in the listing.

Nothing on RWADEX is legal, tax, investment, or accounting advice. You transact at your own risk after your own assessment.

6. Risks

Digital-asset transactions are volatile and may result in total loss. Regulated tokens may be non-transferable to a given user. The availability of any route, venue, execution partner, or liquidity is not guaranteed. Smart contracts and networks carry technical risk, and regulation may change in ways that affect the Services or particular tokens.

7. Acceptable use

You may not use RWADEX to violate law or the rights of others; to attempt to circumvent transfer restrictions, eligibility checks, or security controls; to interfere with the operation of the Services; or to misrepresent your identity or eligibility.

8. Intellectual property

Tesseras owns the RWADEX interface, branding, and platform content, excluding issuer materials and third-party content. You receive a limited, revocable license to use the interface for its intended purpose.

9. Disclaimers and limitation of liability

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. To the maximum extent permitted by law, Tesseras is not liable for indirect, incidental, special, or consequential damages, or for losses arising from third-party protocols, networks, execution partners, wallets, or market conditions. Tesseras's aggregate liability in connection with the Services shall not exceed one hundred U.S. dollars (US $100) or the minimum amount permitted by law, whichever is greater.

10. Changes and termination

We may modify the Services or these Terms; the “Last Updated” date will reflect changes, and continued use after changes take effect constitutes acceptance. We may suspend or restrict access for breach of these Terms, legal risk, or security concerns.

11. Governing law

These Terms are governed by the laws of the Republic of Panama, with venue in Panama City, without regard to conflict-of-laws principles.
